1. Service Description

Precision Smiles CAD Technologies Inc. provides a cloud-based dental CAD design platform that enables dental professionals to submit cases for digital design services. Our services include:

• Digital dental design and modeling
• Case management and workflow tools
• File storage and delivery
• Communication and collaboration features

2. Intellectual Property

Platform Ownership: All platform code, workflows, interfaces, designs, trademarks, and documentation belong exclusively to Precision Smiles CAD Technologies Inc. You may not copy, modify, distribute, or reverse engineer any part of our platform.

Your Content: You retain ownership of the dental case files and data you submit. By uploading content, you grant us a limited license to process, store, and deliver your content as necessary to provide our services.

Deliverables: Upon full payment, you receive a license to use the design files we create for their intended clinical purpose. We retain the right to use anonymized design data for service improvement and training purposes.

3. User Obligations

As a user of our platform, you agree to:

• Provide only lawful, authorized dental data
• Ensure you have proper patient consent for data submission
• Maintain the confidentiality of your account credentials
• Use the platform only for legitimate dental professional purposes
• Comply with all applicable laws and regulations
• Not attempt to circumvent security measures or access unauthorized areas

4. Payment Terms

All fees are payable as defined in the pricing section of our platform. Specific terms include:

• Mode A (Per-Case): Payment required before deliverable download
• Mode B (Prepaid Credits): Credits must be purchased in advance
• Mode C (Monthly Invoice): Net 30 payment terms for approved accounts

Late payments may result in service suspension. All fees are non-refundable except as required by law or at our sole discretion.

5. Data Confidentiality

We treat all client data as confidential. We will not share your data with third parties except as necessary to provide our services, comply with legal obligations, or with your explicit consent. Our data handling practices are detailed in our Privacy Policy.

6. Limitation of Liability

Disclaimer: Our services are provided "as is" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted or error-free.

Limitation: To the maximum extent permitted by law, Precision Smiles CAD Technologies Inc. shall not be liable for:

• Indirect, incidental, special, or consequential damages
• Clinical outcomes or patient treatment results
• Loss of profits, data, or business opportunities
• Damages exceeding the fees paid in the 12 months preceding the claim

Professional Responsibility: The dental professional remains solely responsible for clinical decisions, patient care, and verification of design suitability.

7. Termination

Either party may terminate this agreement with 30 days written notice. We may suspend or terminate your access immediately for violation of these Terms. Upon termination:

• Outstanding payments become immediately due
• You may request export of your data within 30 days
• We will retain data as required by law and our retention policy

8. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.

9. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or platform notification. Continued use of our services after changes constitutes acceptance of the updated Terms.
